Acceptance of Terms
These Terms of Service ("Terms") are a legal agreement between PlanVantage LLC ("PlanVantage," "we," "us," or "our") and the individual or entity that accesses or uses the websites PlanVantage operates that link to these Terms, including planvantage.ai, and any related web applications, dashboards, and services (collectively, the "Site" and the "Services"). By accessing or using the Site or Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, do not use the Site or Services. If you are accepting on behalf of a company or other legal entity, you represent that you have the authority to bind that entity, and "you" or "Customer" refers to that entity. The Services are offered for business use only. By using them, you represent that you are acting on behalf of a business, including your employer, and not as a consumer.
Definitions
"Customer" means the organization that purchases or enables access to the Services for its personnel. "User" means any individual who accesses or uses the Services. "Authorized User" means an individual associated with a registered account under Customer's control. "Order Form" means an ordering document (including online checkout) specifying the subscribed Services, quantities, subscription term, and pricing. "Customer Data" means data submitted to the Services by or on behalf of Customer or its Authorized Users. "Usage Data" means data about the operation, performance, and security of the Services and about how Customer and its Users use them, such as logs, telemetry, and usage metrics, excluding the content of Customer Data.
Description of the Services
The Site is a website and web application that provides software tools for storing, analyzing and modeling data for employee benefit plans and related business use cases.
3.1 AI Features
The Services include features powered by artificial intelligence and large language models ("AI Features"), including extraction of data from documents you upload, an in‑application assistant, and natural‑language workflows. To provide AI Features, content you submit, which may include Customer Data, is processed by third‑party AI providers acting as PlanVantage's subprocessors, as described in our Privacy Policy. The AI models used may vary and change over time at PlanVantage's discretion, subject to any BAA between the parties, including smaller or faster models for particular tasks, and PlanVantage does not warrant that any particular model is or will be used for any feature. PlanVantage does not permit its AI providers to use Customer Data to train or improve their models. AI Features are assistive only, and their output is subject to Section 16.
3.2 Fair Use
AI Features, the API, and connector access are provided subject to fair use. Use that materially exceeds typical usage patterns for benefits modeling and analysis, or that imposes a disproportionate burden on the Services or on PlanVantage's providers, is not fair use. PlanVantage may apply reasonable rate limits and, where use is not fair use or is abusive, may throttle or suspend the affected features, substitute alternate AI models, or require an upgrade.
3.3 API Keys and Connector Access
The Services may offer programmatic access through a REST API, scoped API keys, and a Model Context Protocol ("MCP") connector that lets a compatible AI agent or assistant act on your behalf within the Services. API keys are PlanVantage Confidential Information and may not be shared with any third party. You are responsible for safeguarding your API keys, for all activity conducted through them or through any connected AI agent, for configuring and supervising any connected agent, including what it may read and write, and for ensuring such use complies with these Terms (including Section 3.2 and Section 6, Acceptable Use). Actions taken through the API or a connected agent are treated as your actions. We may rate‑limit, scope, or revoke API keys or connector access to protect the Services.
Order Forms; Subscription Term; Fees and Taxes; Payment
Access to paid Services is set out in an Order Form. Subscriptions renew for successive terms unless cancelled prior to the end of the then‑current term. Subscriptions purchased online renew automatically for a term equal to the one purchased, monthly or annual, until cancelled. You may cancel at any time from the billing settings in the Services; cancellation takes effect at the end of the current term, access continues until then, and no refund is due for the rest of that term. You authorize PlanVantage and its payment processor to charge your payment method on file for each renewal term and applicable taxes. PlanVantage may change the fees for a renewal term by giving notice at least thirty (30) days before that renewal. Customer will pay all fees specified in the Order Form. Except as expressly stated in these Terms, fees are non‑refundable and non‑cancelable. Amounts are due upon invoice or at the time of online checkout; unless stated otherwise, invoices are net thirty (30) days. Late amounts may accrue interest at 1.5% per month (or the maximum permitted by law) and we may suspend the Services for non‑payment after reasonable notice. Fees are exclusive of taxes; Customer is responsible for all sales, use, VAT, GST, and similar taxes, excluding taxes based on PlanVantage's income.
4.1 Trials and Free Access
PlanVantage may offer free trials and free access, including view‑only access after a trial or subscription ends. Free access is provided "as is," without any service commitment, and is subject to the limits described on the Site or in the Services, such as a trial length or a cap on plan sponsors. PlanVantage may change, limit, suspend, or end free access at any time, with or without notice and without liability to you. No fees are charged for free access. If you purchase a subscription during a trial, billing begins when the trial ends.
Access Rights; Accounts and Security
Subject to these Terms and any Order Form, PlanVantage grants Customer a limited, non‑exclusive, non‑transferable right for its Authorized Users to access and use the Services for Customer's internal business purposes. Customer is responsible for the activities of its Authorized Users and for maintaining the confidentiality of account credentials, and will promptly notify us of any unauthorized use or security incident. Where Customer has configured Single Sign‑On (SSO) through an identity provider, Customer's organization administrator may control authentication policies for domain users, including requiring SSO as the exclusive login method.
5.1 Authorized Use and Account Restrictions
Access is limited to the Authorized User associated with each account. Credentials may not be shared, transferred, leased, or sublicensed to any third party (including colleagues, contractors, or consultants). Each user must maintain a separate account. Where password‑based authentication is used, each account must have distinct credentials. Where Single Sign‑On is enabled, users authenticate through their organization's identity provider and PlanVantage password credentials are not required.
5.2 Account Transfers
Ownership of an account may be transferred in legitimate business circumstances (for example, employee departure or role change) with PlanVantage's prior approval, either by updating the registered email in settings or by written request with business justification. Transfers intended to circumvent user limits or enable shared access are prohibited. We may require supporting documentation and may approve, deny, suspend, or terminate access at our discretion if transfer privileges are abused.
Acceptable Use
You will not: (1) use the Services in violation of law; (2) upload malicious code or interfere with the integrity or performance of the Services; (3) attempt to gain unauthorized access to the Services or related systems; (4) use the Services to store or transmit infringing, defamatory, or unlawful material; (5) resell, rent, or provide the Services to third parties not expressly permitted; (6) benchmark or reverse engineer the Services except to the extent such restriction is prohibited by applicable law; (7) submit, store, or process Protected Health Information (PHI) as defined by HIPAA unless you and PlanVantage have executed a Business Associate Agreement (BAA); or (8) access or use the Services, or any output or content they provide, to build, train, or improve a competing product or service.
In using AI Features, you will not: (a) rely on AI‑generated output as the sole basis for a decision that produces legal or similarly significant effects on an individual, including eligibility, coverage, employment, or benefits decisions, without review by a qualified person; (b) attempt to circumvent safety or usage controls of the Services or of PlanVantage's AI providers; (c) knowingly mislead any person that AI‑generated output was produced solely by a human; or (d) use AI Features in violation of the acceptable use policies of PlanVantage's AI providers.
Intellectual Property; License and Restrictions
PlanVantage and its licensors own all right, title, and interest in and to the Site, the Services, and all software, documentation, templates, methods, models, reference data, and other content PlanVantage provides through them (the "PlanVantage Materials"), excluding Customer Data and Output. Subject to your compliance with these Terms, PlanVantage grants a limited, non‑exclusive, non‑transferable, revocable license to access and use the Services for internal business purposes. You may not: (1) copy, modify, create derivative works of, distribute, sell, or lease any part of the Services; (2) reverse engineer or attempt to extract source code; (3) use the Services in a manner that could damage, disable, overburden, or impair the Services or interfere with others' use; or (4) access the Services by any means other than the interfaces we provide.
As between the parties, Customer owns the reports, exhibits, letters, and other output the Services generate for Customer from Customer Data ("Output"), and may use Output for any lawful purpose consistent with Section 6, including delivering it to Customer's clients. Customer's ownership of Output does not give Customer any exclusive right in its form, structure, or standard language, and the Services may generate similar documents for other customers. To the extent Output includes PlanVantage Materials, PlanVantage grants Customer a non‑exclusive, perpetual, royalty‑free license to use, copy, and distribute those PlanVantage Materials solely as part of that Output. PlanVantage may collect and use Usage Data to operate, secure, support, develop, and improve the Services. The internal‑business‑purpose and no‑sublicense restrictions in Sections 5 and 7 govern access to the Services, meaning accounts and credentials, and not Customer's distribution of its own Output.
User Content and Submissions
PlanVantage does not claim ownership of Customer Data or materials you submit through the Services, including feedback, plan models, or client data ("Submissions"). You grant PlanVantage and its affiliates a limited, non‑exclusive license to use, host, store, and process Submissions solely as necessary to provide and improve the Services. This license does not extend to proprietary business data, plan models, client information, or materials marked as confidential, except as required to operate the Services or as expressly authorized by you. For feedback and suggestions, you grant PlanVantage a separate, royalty‑free, perpetual, irrevocable license to use such input for any lawful purpose without attribution unless requested.
PlanVantage may create de‑identified and aggregated data from Submissions, combined with data from multiple unaffiliated customers, that cannot reasonably be used to identify or be linked to you, your clients, or any person, and does not reveal confidential or competitively sensitive information. PlanVantage does not attempt to re‑identify such data and does not sell or license it to third parties. PlanVantage may use it to operate and improve the Services, for research, and for benchmarks and other aggregate findings, which it presents only so that no customer, plan, client, or person can be identified or reasonably re‑derived. You may opt out of this use prospectively by contacting us in writing; data already de‑identified and findings already published are not affected.
Customer represents and warrants that it has all rights, consents, and authorizations, and has given all notices, needed to submit Customer Data to the Services and to permit PlanVantage to process it as described in these Terms, including any needed from Customer's clients, plan sponsors, and plan participants.
Privacy; Data Processing; Security
Your use of the Services is subject to our Privacy Policy, which explains how we collect, use, and disclose information. The Privacy Policy is incorporated by reference. If processing of personal data is subject to data protection laws (for example, the GDPR), PlanVantage will enter into a data processing addendum ("DPA") where that law requires one, and an executed DPA forms part of your agreement with PlanVantage. PlanVantage implements commercially reasonable technical and organizational measures designed to protect Customer Data against accidental or unlawful destruction, loss, alteration, unauthorized disclosure, or access.
The Services are not intended to receive or process PHI subject to HIPAA unless PlanVantage and Customer have executed a BAA. If Customer submits PHI without a BAA, PlanVantage may, at its discretion, suspend access to the affected data, delete such data, and/or require execution of a BAA before further processing. To request a BAA, contact PlanVantage before submitting any PHI. PlanVantage may decline to enter into a BAA, or may condition one on a particular subscription, additional fees, or security requirements.
Data retention: Unless otherwise set out in an Order Form or DPA, PlanVantage retains Customer Data while Customer's account is open, including while the account continues with view‑only access after a trial or subscription ends, and for up to thirty (30) days after the account is closed for limited backup, audit, and legal purposes, after which it is deleted or de‑identified. Backup copies may persist for an additional period consistent with our standard backup cycles and will be securely destroyed in the ordinary course. Legal requests: PlanVantage may disclose information as required by law, subpoena, or court order, and will provide Customer with notice of any governmental or legal request to the extent legally permitted and practicable.
Data Deletion Rights
You may request deletion of your account and associated data at any time through the user interface. Upon a deletion request, your data will be retained for thirty (30) days to allow for recovery in case of error, after which it will be permanently deleted. During the 30‑day period, your data is inaccessible through the Services but may be restored upon request. Certain information may be retained as required by law or legal process, for fraud prevention, or to resolve disputes, limited to what is reasonably necessary for those purposes. Backup copies are handled as described in Section 9.
Third‑Party Services and Links
The Site may contain links to third‑party websites or services and may allow you to connect your PlanVantage account to third‑party accounts. Linked sites and services are not under PlanVantage's control, and we are not responsible for their content or practices. If you connect your account to a third‑party account, you authorize the sharing of information consistent with your settings on those services.
International Use
The Services are controlled and operated from the United States. If you access the Services from outside the United States, you are responsible for compliance with local laws. You agree not to access or use the Services in any jurisdiction or in any manner prohibited by applicable laws, restrictions, or regulations.
Mutual Confidentiality
"Confidential Information" means non‑public information disclosed by a party (the "Disclosing Party") to the other (the "Receiving Party") that is designated as confidential or that a reasonable person would understand to be confidential given the nature of the information and the circumstances of disclosure, including Customer Data, product roadmaps, pricing, and security information. The Receiving Party will use Confidential Information only to perform its obligations or exercise its rights under these Terms, will protect it using at least reasonable care, and will not disclose it to third parties except to its employees, contractors, and advisors who have a need to know and are bound by confidentiality obligations at least as protective. These obligations do not apply to information that is publicly available, already known without restriction, independently developed, or rightfully received from a third party without duty of confidentiality. The Receiving Party may disclose Confidential Information to the extent required by law with reasonable prior notice (if legally permitted).
Indemnification by Customer
You agree to indemnify, defend, and hold harmless PlanVantage and its officers, directors, employees, agents, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (1) your breach of these Terms; (2) your violation of law; (3) your infringement or violation of third‑party rights; (4) your misuse of the Services; (5) Customer Data, including any claim that its collection, submission, or use through the Services violated law or a third party's rights; or (6) any document, advice, or decision Customer provides or makes for a third party using the Services or their output, except, for items (5) and (6), to the extent the claim is caused by PlanVantage's breach of these Terms. We may assume the exclusive defense and control of any matter subject to indemnification by you; you will cooperate with us in asserting any available defenses. You may not settle any claim in a way that imposes an obligation or admission on PlanVantage without PlanVantage's prior written consent.
IP Infringement Indemnity by PlanVantage
PlanVantage will defend Customer against any third‑party claim that the Services, when used by Customer as permitted, infringe a U.S. patent, copyright, or trademark, and will pay damages finally awarded (or settlement amounts approved by PlanVantage). If such a claim arises, PlanVantage may: (1) procure the right for Customer to continue using the Services; (2) replace or modify the Services so they are non‑infringing and substantially equivalent; or (3) terminate the affected Services and refund any prepaid, unused fees for the remaining subscription term. This obligation does not apply to claims arising from Customer's data or specifications, use of the Services not in accordance with the documentation, combinations with items not provided by PlanVantage, or modifications not made by PlanVantage. PlanVantage's obligations under this Section apply only if Customer notifies PlanVantage promptly in writing of the claim, gives PlanVantage sole control of its defense and settlement, and provides reasonable cooperation at PlanVantage's expense. THIS SECTION STATES PLANVANTAGE'S ENTIRE LIABILITY AND CUSTOMER'S EXCLUSIVE REMEDY FOR INTELLECTUAL PROPERTY INFRINGEMENT.
Disclaimers
The Site, the Services, the PlanVantage Materials, and Output are provided on an "as is" and "as available" basis. PlanVantage LLC and its suppliers disclaim all warranties, whether express, implied, statutory, or otherwise, including the implied warranties of merchantability, fitness for a particular purpose, title, and non‑infringement. Changes may be made to the Site or Services at any time.
The Services are software tools. Unless PlanVantage agrees otherwise in a separate signed engagement, PlanVantage does not provide actuarial, legal, tax, accounting, or benefits consulting advice, and nothing in the Services is such advice. Calculations, projections, extracted values, and other output of the Services, including AI‑generated output, depend on the data you provide and on stated assumptions, may be inaccurate or incomplete, and must be reviewed by a qualified person before you rely on them. Documents the Services generate for you, including creditable coverage determination letters, exhibits, and presentations, are drafts for your review. You are responsible for reviewing each document before you issue it, for any document you issue, and for decisions you make using the Services. Features identified as beta, preview, or early access are provided as is, may be changed or withdrawn at any time, and are excluded from any service commitment.
Nothing in the Services, including any output about insurance products, carriers, rates, or plan designs, is a recommendation, solicitation, or offer to buy or sell any insurance product or benefit plan, and PlanVantage is not acting as an insurance broker, agent, consultant, or adviser.
Limitation of Liability
To the maximum extent permitted by law, PlanVantage LLC, its affiliates, and their officers, employees, agents, and suppliers (the "PlanVantage Parties") will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or use, arising out of or relating to these Terms or the Services. Except for PlanVantage's fraud, willful misconduct, or gross negligence, to the extent liability for them cannot be limited under applicable law, the total liability of the PlanVantage Parties for all claims arising out of or relating to these Terms or the Services, whether in contract, tort (including negligence), or otherwise, and including any data breach, breach of confidentiality, indemnification obligation, or regulatory fine or penalty, will not exceed the greater of (a) the amounts paid or payable by you for the Services in the twelve (12) months preceding the first event giving rise to liability and (b) one hundred U.S. dollars (US$100) (the "Liability Cap"). The Liability Cap applies to, and is shared across, all claims by Customer, its affiliates, and its Authorized Users. Some jurisdictions do not allow the exclusion or limitation of certain damages; some limitations may not apply to you.
For clarity, Customer's sole and exclusive remedy for any Service Outage (as defined below), including any Prolonged Service Outage, is set forth in Section 17.1.
17.1 Service Outages
For purposes of these Terms, a "Service Outage" means that the core functionality of the Services is materially unavailable to all Customers due to PlanVantage's systems being unreachable or returning server errors for more than ninety‑five percent (95%) of requests, measured over a rolling five‑minute period, and excluding: (a) scheduled maintenance with at least twenty‑four (24) hours' notice; (b) emergency maintenance; (c) downtime or errors caused by third‑party services, networks, or integrations outside PlanVantage's reasonable control; or (d) downtime or errors caused by Customer's systems, networks, or misuse. A "Prolonged Service Outage" means a Service Outage lasting more than seventy‑two (72) consecutive hours.
Sole remedy: If a Prolonged Service Outage occurs, Customer's sole and exclusive remedy is a pro‑rated refund of prepaid, unused fees for the affected period. PlanVantage will not be liable for other damages arising from a Service Outage, except as expressly set forth in these Terms. AI Features and features identified as beta, preview, or early access are not core functionality for purposes of this Section 17.1, and their unavailability is not a Service Outage.
Arbitration
Before starting an arbitration or a court proceeding, other than an action for injunctive or other equitable relief under this Section, a party must send the other written notice describing the dispute and the relief sought, and the parties will try in good faith to resolve it for sixty (60) days after the notice is received. Any dispute arising out of or relating to these Terms or the Services that is not resolved in that period will be resolved by final and binding arbitration under the Federal Arbitration Act, administered by the American Arbitration Association under its Commercial Arbitration Rules, before a single arbitrator, seated in Atlanta, Georgia. The arbitrator may hold hearings by video conference. The arbitrator, not a court, decides all questions of arbitrability, including the scope, validity, and enforceability of this Section, except that a court decides the enforceability of Section 19. As exceptions, either party may bring an individual claim within the jurisdiction of the Magistrate Court of Fulton County, Georgia, in that court, and either party may bring an action in a court described in Section 25 to collect undisputed amounts owed or to seek injunctive or other equitable relief against actual or threatened misuse of its intellectual property or Confidential Information. The arbitrator may award any remedy available at law or in equity that is consistent with these Terms, including Section 17, and may award fees and costs to the prevailing party as permitted by law. The award may be entered in any court with jurisdiction. This Section survives termination.
Class Action Waiver
You and PlanVantage each agree to bring claims only on an individual basis. Class, representative, collective, and private attorney general actions are not permitted, and this waiver applies in any forum, including in court, whether or not the particular dispute is subject to arbitration under Section 18. Where a dispute is arbitrated, class arbitrations are not permitted and, unless both you and PlanVantage agree otherwise, the arbitrator may not consolidate claims of more than one person or preside over any form of representative or class proceeding. If this waiver is held unenforceable as to a particular claim, that claim alone may proceed in court and this waiver remains in force for all other claims. This provision survives termination.
Publicity
PlanVantage may identify Customer as a customer and use Customer's name and logo in accordance with Customer's brand guidelines for marketing purposes, unless Customer opts out by notifying us in writing.
Export Control and Sanctions
You will comply with all applicable export control and economic sanctions laws and regulations, including those of the United States. You represent that you are not located in, organized under the laws of, or ordinarily resident in a country or territory subject to comprehensive U.S. sanctions, and are not a denied or restricted party.
Government Users
The Services and related documentation are "Commercial Items" as defined at 48 C.F.R. §2.101, consisting of "Commercial Computer Software" and "Commercial Computer Software Documentation." If acquired by or on behalf of the U.S. Government, use is subject to these Terms as required by 48 C.F.R. §12.212 or 48 C.F.R. §227.7202, as applicable.
Termination
We may suspend or terminate your access to the Services if: (1) you materially breach these Terms; (2) you engage in illegal activity; or (3) you fail to pay fees when due. For non‑payment, we will provide at least 30 days' written notice before termination. For other violations, we will provide 30 days' written notice and an opportunity to cure, unless the violation cannot be remedied. We may terminate immediately in cases involving illegal activity, data security threats, or actions that could harm other users or our systems. Upon termination of your account, you will have 30 days to request an export of your data, after which it may be permanently deleted.
Customer may terminate these Terms if PlanVantage materially breaches them and does not cure the breach within thirty (30) days after receiving written notice describing it. PlanVantage may also terminate the Services for convenience on at least thirty (30) days' notice.
Refunds upon termination: If PlanVantage terminates the Services for convenience or discontinues the Services in their entirety, or if Customer terminates for PlanVantage's uncured material breach, we will provide a pro‑rated refund of any prepaid, unused fees for the remaining subscription term. No refunds are due if termination is for Customer's breach or non‑payment. Any statutory refund rights that cannot be waived remain unaffected.
Changes to These Terms
We may modify these Terms at any time. Each version states its effective date. A version applies to accounts created and purchases made on or after that date. An existing account remains subject to the version that applied to it until a later version becomes applicable under this Section.
By renewing a subscription, including by automatic renewal, you agree that the renewed term is governed by the version of these Terms posted on the Site at least thirty (30) days before the renewal date. We may make a later version applicable to an existing account sooner by giving at least 30 days' notice by email or in‑app notification, in which case it becomes applicable on the date the notice states. You may also accept a later version sooner, including by signing an Order Form that incorporates it.
If you do not agree to a later version, you may cancel your subscription or stop using the Services before the later version becomes applicable to you. If you continue using the Services after the later version becomes applicable to you, that continued use constitutes acceptance of the later version.
Minor or administrative updates, such as correcting typographical errors or updating contact details, take effect when posted on the Site. A version does not retroactively change terms that previously applied to you, and nothing in this Section modifies or overrides terms you have separately agreed to in a signed agreement or Order Form with PlanVantage.
Governing Law; Venue
These Terms are governed by the laws of the State of Georgia, without regard to its conflict of law principles. You agree to the exclusive jurisdiction and venue of the state courts located in Fulton County, Georgia, and the United States District Court for the Northern District of Georgia, for any dispute arising out of or relating to these Terms, the Site, or the Services that is not subject to arbitration. TO THE EXTENT PERMITTED BY APPLICABLE LAW, EACH PARTY WAIVES ANY RIGHT TO A JURY TRIAL IN ANY PROCEEDING ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES.
Order of Precedence
If there is a conflict between these Terms and an Order Form, BAA, DPA, or other addendum executed by the parties, the Order Form, and then the BAA, DPA, or other addendum (with respect to its subject matter), will control unless the Order Form expressly states otherwise. The Liability Cap in Section 17 is one aggregate limit across these Terms and every such document, and a document changes it only by expressly referring to Section 17 of these Terms. If these Terms conflict with the Privacy Policy, these Terms control.
Notices; Electronic Communications
By visiting the Site or sending emails to PlanVantage, you are communicating with us electronically. You consent to receive communications from us electronically, including by email, in‑app messages, and postings on the Site. You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing. Notices to you will be deemed given when sent to the email address associated with your account, when posted in‑app, or when posted on the Site. You are responsible for keeping your account contact information current. Notices to PlanVantage must be sent to the address listed in the "Contact Us" section below.
Miscellaneous
These Terms, together with any policies referenced herein (including the Privacy Policy) and any applicable Order Form, BAA, DPA, and other addendum executed by the parties, constitute the entire agreement between you and PlanVantage regarding the Services and supersede all prior or contemporaneous communications. If any provision is held unenforceable, it will be replaced with a valid provision that most closely reflects the parties' intent, and the remaining provisions will remain in full force. No waiver is effective unless in writing. You may not assign these Terms without our prior written consent; we may assign these Terms in connection with a merger, acquisition, or sale of assets. A printed version of these Terms and any notices given in electronic form is admissible to the same extent as other business documents originally generated and maintained in printed form. The English version of these Terms controls.
Sections 4 (as to amounts owed), 7 (other than the license to access and use the Services), 8 (as to feedback and de‑identified and aggregated data), 9, 10, 13, 14, 15, 16, 17, 18, 19, 23 (as to rights and refunds after termination), 25, 26, and 28, and any other provision that by its nature should survive, survive termination or expiration of these Terms.
These Terms benefit only the parties, and no other person, including Customer's clients, plan sponsors, plan participants, or insurers, may enforce them, except that the PlanVantage Parties and the persons indemnified under Section 14 may rely on Sections 14, 16, and 17.
Neither party is liable for a delay or failure to perform, other than a payment obligation, caused by events beyond its reasonable control, including natural disaster, war, terrorism, civil unrest, labor action, government action, epidemic, and failures of utilities, networks, or third‑party hosting or AI providers.
Any claim arising out of or relating to these Terms or the Services must be brought within one (1) year after the claimant knew or should have known of it, except a claim for unpaid fees or for misuse of intellectual property or Confidential Information.
